Opinions on deepening the reforms on the facilitation of starting business in an all-round way by six government departments including Shanghai Administration for Market Regulation

 

District Administrations for Market Regulation, The Airport Branch of Shanghai Administration for Market Regulation, District Branches of Public Security Bureau, District Administrations of Tax Service, State Taxation Administration, District Human Resources and Social Security Bureaus, Financial institutions of banking business and relevant departments:

 

   In order to carry out the deployment of the Municipal Party Committee and municipal government on optimizing the business environment in Shanghai, benchmarking the highest standards, as well as to facilitate the process of starting business in an all-round and systematic way, the Shanghai Administration for Market Regulation, Shanghai Public Security Bureau, Shanghai Municipal Tax Service, State Taxation Administration, Shanghai Human Resources and Social Security Bureau, Shanghai Provident Fund Management Center and The People’s Bank of China, Shanghai Head Office jointly propose the following opinions on the reform on the facilitation of starting business in an all-round way:

 

1.     General Goal

To consolidate the achievement of the reform on the facilitation of starting business, based on the Integrated Registration Service (herein after referred to as IRS) system for starting business, with the core mechanism of Application in One Form and Collection via One Window. With the goal of making the process of starting business into One Integrated Application, the whole process of starting business characterized by standard criteria, smart procedures and highly efficient services is to be formulated, by focusing on key steps and implementing innovative and prospective measures, so as to upgrade the overall government service efficiency for starting business. The whole process of starting business is to be completed in one step in 2 days, which means by applying for incorporation in one form, applicants can claim the printed business license, free official seals and invoices via one single window in a single visit, with the registration of the social insurance for employment and provident fund of employees done simultaneously.

 

2.     Main Tasks

(1)    To consolidate the core procedure of application

1.      All items related to the process of starting business are to be submitted online in one application form. Applicants can apply for business licenses (together with the free official seals), invoices and social insurance for employment of employees as well as provident fund by filling in one form in the IRS system. The function of application for provident fund of employees has been added into form filling, which has been integrated with the social insurance for employment and could be applied at the same time. The information submitted will be pared and verified by the system automatically, which means the social insurance for employment and provident fund of employees are to be registered simultaneously with the incorporation of enterprises, there’s no need to submit any documents or to claim any certificates.

2.      The printed business license, free official seals and invoices needed for the operation of businesses can be claimed via one window offline. The Single Window at IRS system service counters at district administration service centers are to be established, with the principle of online and offline consistency, facilitating the specialized accepting and issuing function of the Single Window. The offline submissions for incorporation of enterprises by applicants are to be accepted at the Single Window, while the printed business licenses, free official seals, invoices (including tax control devices) are to be released at the same window.

(2)    Optimizing the services related to starting business

1.      To pilot the commitment mechanism of enterprise name. Applicants shall bear the legal responsibility, making commitments that the enterprise names applied meet the criteria of examination and approval. The database of enterprise names is to be continuously optimized and the smart verifying capability of the system is to be upgraded, thus the artificial screening mechanism shall be gradually taken place.

2.      To reduce the documents of enterprise domiciles. For the applications of incorporation using addresses in industrial parks that have been filed at registration authorities as domiciles, applicants can make use of the whole-process paperless electronic registration. By making commitment on the legality of domiciles, they are not required to submit any certificates of domiciles. For the applications of incorporation using addresses other than the filed ones, the sharing mechanism and application of immovables registration information between government departments are to be upgraded. In the process of whole-process paperless electronic registration, the approach of online identification of relevant persons and confirming use rights of domiciles via digital signatures are to be explored, once introduced, there’ll be no need to submit any relevant documents such as the certificates of property (immovables) right or leasing contracts.

(3)    To promote the whole-process paperless electronic registration

To expand the range of whole-process paperless electronic registration, enterprises of all types can be registered in the paperless and electronic way according to the needs of applicants. Based on the standard documents, electronic processing, smart examination, an express way of starting business is to be established. With the continuous upgrading of the automatic recognition and the accuracy of smart paring and screening function of the system, artificial intervention will be greatly reduced and the incorporation registration of enterprises shall be processed right after the applications are submitted.

(4)    To continuously issue free official seals

To carry on the issue of free official seals to newly incorporated enterprises citywide, a set of four seals (including the enterprise name seal, the financial seal, the seal for invoices and the seal of the legal representative) is to be issued together with the printed business license and invoices via the Single Window offline, the electronic seals are to be issued together with electronic licenses.

(5)    To speed up the application of tax-related items

For newly incorporated enterprises which meet the criteria, all the application of tax related items (including claiming the invoices) are to be completed on the same day of the acceptance of the application for invoices by tax administrations. Applicants can claim tax control devices, invoices and tax-related documents together with printed business licenses and free seals via the Single Window at IRS system service counters.

(6)    To upgrade services related to enterprise registration

1.      To launch the online archival inquiry service in the IRS system

With the launch of online archival inquiry service of enterprise registration, applicants can search and print registration archives by logging into the system using online autonym identification, which is accessible round-the-clock, there’s no need to pay any onsite visits.

2.      To expand the service range of the IRS system

Based on the reservation service of bank accounts opening, the service range of the IRS system is to be further expanded after the incorporation registration. If enterprises need to apply for tax-related, social insurance for employment or provident fund items after starting business, they can still use the relevant modules in the IRS system.

3.      To promote services related to enterprise bank accounts

Financial institutions of banking business are encouraged to further cut the time of bank account opening for newly incorporated enterprises by streamlining the procedures, based on the principles of Promoting the Enterprise Bank Account Service and Account Management with the Optimization of Facilitating the Opening Procedures and Risk Control. The sharing mechanism of enterprise bank account information between banks and government departments is to be explored, thus the relevant application procedures can be simplified. The sharing of registration information of enterprises shall be enhanced to support the whole-process management on enterprise bank accounts by financial institutions of banking business, so as to establish a safe and reliable environment for the utilization of enterprise bank accounts.

 

3.  Enforcement

(1) To reinforce team work by clearly defining responsibilities

Team work mechanism characterized of unified organization by core departments and efficient coordination between departments shall be reinforced. Relevant departments shall clearly define the responsible sections to orderly carry out the specific measures related to the reform on the facilitation of starting business, as well as the completion time of different tasks.

(2) To improve services to benefit enterprises and applicants

The reform on the facilitation of starting business shall be integrated with the optimization of services for enterprises, all reforming measures shall be focused on the benefit of enterprises and applicants. Based on the unified deployment on the citywide scale, relevant departments are encouraged to formulate characteristic plans in routine work, as well as to explore new approaches that are suitable for different districts based on respective circumstances.

(3) To promote publicity and guidance

Based on the unified working requirements related to the reform on the facilitation of starting business, with the goal of making the process of starting business into One Integrated Application, reforming measures shall be publicized in an all-round way in various media formats. Meanwhile, relevant departments shall deliver comprehensive interpretation of policies respectively, as well as provide clear guidance for enterprises and the public, by fully knowing the reform will they benefit from it.

 

The Opinions shall take effect on the date of issue, and shall be valid until December 30, 2024.
